Acceptance of Terms
By accessing our website at sudamhub.com or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.
Services
All services are provided based on mutual agreement between SudamHub and the client, outlined in a project proposal or written communication:
1) Scope, timeline, and deliverables are agreed upon before work begins.
2) Any changes to the agreed scope may result in revised timelines or additional costs.
3) SudamHub reserves the right to decline any project at its own discretion.
Payments
Payment terms are defined on a per-project basis and agreed upon before work begins:
1) An upfront deposit is required before the project starts, with the remaining balance due upon completion or per milestone agreements.
2) All payments are non-refundable unless otherwise stated in the project agreement.
3) SudamHub accepts payments via bank transfer, eSewa, Khalti, and other agreed-upon methods.
Intellectual Property
Upon receipt of full payment, the client receives full ownership of the final deliverables including source code, design files, and assets, unless otherwise agreed in writing. SudamHub reserves the right to showcase completed projects in our portfolio, website, and social media channels unless the client requests confidentiality in writing prior to project start. Any third-party libraries, fonts, stock images, or tools used are subject to their respective licenses, and the client is responsible for ensuring proper licensing for any assets they provide to us.
Client Responsibilities
To ensure a smooth project delivery, the client agrees to:
1) Provide accurate and complete project requirements, content, and materials on time.
2) Provide timely feedback and approvals to avoid project delays.
3) Ensure they hold the legal right to use any materials or content provided to SudamHub.
4) Not use SudamHub's work for any illegal, unethical, or harmful purposes.
Revisions and Modifications
A reasonable number of revisions are included within the agreed project scope:
1) Revisions that fall outside the original scope or significantly alter the agreed deliverables may incur additional charges.
2) All revision terms are clearly defined in the individual project agreement before work begins.
Timelines and Delays
SudamHub will make every effort to deliver projects within the agreed timelines. However:
1) Delays caused by late client feedback, incomplete content, or scope changes are not the responsibility of SudamHub.
2) SudamHub is not liable for delays caused by third-party services, hosting providers, or force majeure events beyond our reasonable control.
Limitation of Liability
SudamHub shall not be held liable for:
1) Any indirect, incidental, or consequential damages arising from the use of our services or deliverables.
2) Data loss, security breaches, or downtime caused by third-party services or client-side negligence.
3) Loss of revenue or business opportunities resulting from project delays or errors beyond our control. Our total liability in any case is limited to the amount paid by the client for the specific service in question.
Confidentiality
Both parties agree to keep confidential any sensitive business information, trade secrets, or proprietary data shared during the course of the engagement. This confidentiality obligation remains in effect after the project is completed or the agreement is terminated.
Termination
Either party may terminate the project with written notice:
1) The client is responsible for payment of all work completed up to the termination date.
2) SudamHub reserves the right to terminate immediately if the client engages in fraudulent, abusive, or illegal activity.
Website Use
All content on sudamhub.com including text, images, logos, and code is the intellectual property of SudamHub and may not be copied, reproduced, or distributed without written permission. You may not use this website for any unlawful purpose or in a way that damages, disables, or impairs the site or its services.
Governing Law
These Terms and Conditions are governed by the laws of Nepal. Any disputes shall be resolved under the jurisdiction of the courts of Nepal. For international clients, disputes may be resolved through mutual negotiation or agreed-upon arbitration.
Changes to These Terms
SudamHub reserves the right to modify these Terms and Conditions at any time. Updates will be reflected by changing the Last Updated date on this page. Continued use of our website or services after changes implies acceptance of the revised Terms.
